CFS TERMS AND CONDITIONS

1. Structure of the Agreement. Customer desires to receive certain services provided by
CFS as identified in the Authorization Form by and between Customer and CFS and as further specified in the service agreement. These Terms and Conditions of Service are incorporated into the Authorization Form.

2. CFS Rates and Charges

2.1 CFS Rates. Customer shall pay to CFS a percentage of the refund, as specified in the Agreement If Customer in good faith disputes an amount set forth on an invoice, Customer shall pay the undisputed amount and shall promptly notify CFS of such dispute and work in good faith with CFS to promptly resolve the disputed amount. All Fees will be billed and paid in U. S. dollars, unless otherwise provided in a Service Schedule. Rates are subject to change at any time.

2.2 Late Payments. If Customer fails to make a payment of the Fees within 14 days, Customer shall pay to CFS a late payment charge which shall be equal to 5% of the unpaid amount of such Fees. Such late payment fee shall be charged for any month where Customer fails to make a payment of the Fees when due.

3. Confidentiality. As used herein, the term “Confidential Information” shall mean confidential information relating to the Business, technology, operations and financial condition of a Party. Confidential Information remains a trade secret; the Party receiving such Confidential Information will not disclose such Confidential Information except as permitted herein and shall exercise the same degree of care to avoid disclosure of such confidential Information as it employs with respect to its own confidential Information, but not less than reasonable care. Confidential Information shall not include such information that:
(a) Now or hereafter becomes publicly known without violation of the Agreement;
(b) Known to the recipient prior to the time of disclosure without obligation to preserve confidentiality;
(c) Received by the recipient from a third party without obligation to preserve confidentiality;
(d) Independently developed by the recipient;
(e) Authorized to be disclosed by the disclosing Party;
(f) CFS will use Shipping Information only as permitted by the CFS Privacy Policy or as permitted by law.

_______________________ authorizes Corporate Freight Savers to share our shipment information from FedEx, UPS, and DHL for the sole purpose of tracking shipments and obtaining refunds for us. ______________________ agrees to pay to Corporate Freight Savers 50% for all refunds. Either party may cancel this agreement at anytime with 30 day written notice to the other party.
